LUXURRE — PROFESSIONAL PLATFORM TERMS OF USE

1. Parties and B2B eligibility
These terms govern use of the LUXURRE platform operated by LUXURRE LTD, subject to verified full corporate particulars in the Imprint. The service is intended for companies, undertakings, professionals and authorised representatives acting for business purposes. By registering, you represent your genuine professional capacity, authority to bind your organisation, legal age, accurate identity and lawful entitlement to use the service. Any non-excludable rights under local law remain unaffected.

2. Account, verification and access
You must submit accurate, current information, promptly update it, keep credentials confidential, secure access devices and report suspected compromise. We may apply email verification, identity/beneficial-owner checks, KYC/AML, source-of-funds screening, sanctions screening and manual onboarding. Registration or payment alone does not entitle any user to public listing, private-market information, introductions, approved status or any specific opportunity. Access is personal to the approved entity and authorised users.

3. User categories and permissions
Buyers, investors, family offices and searchers may submit non-binding interests and must substantiate corporate capacity and lawful sources of funds where requested. Owners and sellers warrant title or properly documented authority, lawful marketing rights, accuracy of content and compliance with applicable disclosure rules. Brokers, agents and intermediaries must establish mandates, applicable registrations and licences, and disclose conflicts and compensation arrangements. Service providers must prove qualifications, registrations, insurance and employment/immigration compliance where applicable. Each category remains subject to review and approval.

4. Submissions, assets and intellectual property
You retain ownership of submitted content but grant LUXURRE a non-exclusive, worldwide, revocable on withdrawal where practicable, royalty-free licence to host, reproduce, translate and display approved material strictly for the agreed platform service, with necessary sublicensing to technical processors. You warrant the right to provide all materials, including identifiable persons' images, personal data, trademarks, floorplans, video and documents. Confidential materials are not made publicly accessible merely by upload. We may refuse, hide or remove content that is inaccurate, unauthorised or unlawful.

5. Translation and editorial work
Automatic translation, categorisation and summaries may contain errors. English is the editorial source for operator-controlled policy documents, but translated notices must be considered in accordance with mandatory law. Materials provided by users in their own languages may be translated after authorisation and moderation. Translation does not replace qualified legal interpretation. Users must verify transaction-critical language before reliance.

6. Review, re-review and availability
Every initial submission is subject to approval. Each material user edit returns the affected item to a pending-review state and may suspend prior public visibility until separately approved. Publication, matching and introduction are discretionary and subject to qualifications, completeness, availability, payment status and compliance. We may decline, pause or remove content with fair notice where appropriate and immediately for abuse or urgent legal risk.

7. Prohibited conduct
No impersonation, deceptive listings, unauthorised introductions, unlawful discrimination, unsolicited bulk marketing, illegal property or funds, circumvention of access controls, scraping, malware, infringement, bribery, licence evasion or infringement of another person's privacy. You must not upload confidential financial, identity or deal material without lawful authority and an approved confidential workflow.

8. Commercial terms, platform charges, intermediaries and B2B-only use
The LUXURRE platform is provided exclusively for business-to-business use by companies, undertakings, traders, professionals and individuals acting wholly or mainly in a business or professional capacity, including (without limitation) property owners and sellers acting commercially, buyers and investors acting for business purposes, family offices, investment companies, property developers, licensed intermediaries and authorised representatives. The platform is not intended for consumers acting outside a trade, business, craft or profession. A person cannot waive mandatory consumer rights merely by selecting a business category or accepting these Terms. LUXURRE may verify business capacity and refuse or restrict registrations that do not meet its eligibility requirements, subject to mandatory law.

All application, listing, publication, advertising, membership, account and subscription fees, billing periods, quotas, renewals, exclusivity arrangements, cancellation rules, applicable tax treatment and any other platform charges apply only as expressly disclosed in the applicable offer, checkout information or accepted written agreement. Materially different commercial terms require an express written agreement between authorised contracting parties; electronic written agreements may qualify where legally effective. Nothing here creates an undisclosed fee or payment obligation, and any statutory rights or mandatory pre-contract disclosures remain unaffected. Refund rights and cancellation arrangements are governed by the terms expressly presented for the relevant platform service and applicable law.

LUXURRE LTD charges only the fees expressly agreed for provision of the digital platform and the relevant accounts, memberships, searches, advertisements, submissions or time-limited publications. Under these Platform Terms, LUXURRE LTD does not charge a seller or user a brokerage, finder or transaction-success commission. Any brokerage, introduction, finder, intermediary, advisory or success fee is a separate matter arising only where expressly agreed with the relevant independent intermediary or service provider under a valid direct engagement; if payable, it is owed to the identified contractual service provider under that agreement. No such commission arises merely from use of the platform or acceptance of these Terms. Any separate arrangement in which LUXURRE LTD is itself expressly named as a contracting service provider must be transparently and separately documented; nothing here alters a valid pre-existing agreement.

LUXURRE LTD operates the digital platform and does not itself offer, own, sell, lease or supply the properties, assets or professional services displayed by independent owners, vendors, brokers, developers, representatives or other providers. Listings, prices, descriptions, availability and performance obligations remain subject to identification of the actual offering party, verification, applicable licensing rules and the relevant direct contract. Display of an opportunity does not create an agency relationship or brokerage mandate for LUXURRE LTD. Payments for LUXURRE platform fees may be processed by an independent payment service provider under that provider's applicable payment terms. Separately signed, applicable service and brokerage agreements take precedence over inconsistent general commercial wording only within their own scope, subject always to mandatory law.

9. Restriction, suspension, withdrawal and termination
Where reasonably necessary because of suspected fraud, misleading information, unlawful conduct, sanctions or financial-crime risk, security incidents, abuse, breach of contractual obligations, infringement of rights, regulatory restrictions or demonstrable harm, LUXURRE LTD may review, temporarily restrict, withhold publication of, suspend or remove accounts, access rights, listings, search mandates, enquiries, publications, displayed opportunities, offers or platform services, and may terminate access where justified. Actions shall be proportionate to the circumstances and compliant with applicable law and any binding contractual notice or procedural obligations. Where reasonably possible and appropriate, affected parties may be informed of the reason and given an opportunity to correct information or request review; immediate protective restrictions may be applied where required for security, confidentiality or legal compliance. LUXURRE does not thereby purport to cancel or suspend an independent underlying sale, brokerage or third-party service contract to which it is not a party. Account closure, document retention, refund handling and removal of content remain subject to the accepted service terms, applicable data protection obligations and mandatory law.

10. Warranties and risk
The platform is made available on an as-available basis to the extent legally permissible, without guarantees as to uninterrupted operation, completeness, commercial outcomes, opportunities, translation accuracy or successful closing. All content supplied by independent third parties requires independent checking.

11. Liability and indemnity
To the maximum extent legally permitted and subject to applicable statutory reasonableness tests, LUXURRE is not responsible for indirect loss of profit, revenue, opportunity, goodwill or third-party deal failure caused by reliance on unverified information. Users are responsible for direct losses reasonably resulting from their unlawful or infringing submissions subject to enforceable limits. No provision excludes liability for fraud, fraudulent misrepresentation, death/personal injury arising from negligence or non-excludable obligations.

12. Governing law, disputes and changes
Subject to mandatory conflict-of-laws, consumer and local regulatory protections, parties acting as businesses intend England and Wales law and courts for ordinary platform contract disputes, unless a signed agreement provides otherwise. Complaints should first be directed to info@luxurre.com. A change of material terms will take effect only with appropriate notice/consent where legally required. Severability and non-waiver apply to valid terms only.
